Sales Order Terms & Conditions
These Terms and Conditions govern all Sales Orders issued by Orvieon. By engaging in any transaction with Orvieon, the client acknowledges and agrees to the following terms. These conditions are aligned with the Australian Consumer Law (ACL) to ensure fairness, transparency, and protection for all parties involved.
Sales Order Issuance & Acceptance
- A sales order represents a binding financial obligation for goods and/or services rendered.
- By accepting or paying a sales order, the client agrees to these Terms and Conditions in full.
Pricing & Payment
- All prices are listed in Australian Dollars (AUD) unless otherwise specified.
- Payment is due on receipt, unless alternate written terms have been agreed upon.
- Builders with credit terms must pay within 15 days from invoice date.
- All other clients must pay in full before delivery or handover.
- Late payments incur 3.5% monthly interest or the maximum legal rate.
- Non-payment may result in service suspension, withheld materials, and recovery fees.
Ownership & Security Interest
- Ownership of goods remains with Orvieon until full payment is received.
- A security interest is retained under the PPSA (Personal Property Securities Act 2009) until payment is complete.
Delivery & Risk
- Orvieon will make reasonable efforts to meet delivery schedules but is not liable for delays beyond its control.
- Risk passes to the client upon delivery, installation, or on-site handover.
- Delivery fees are the client's responsibility unless otherwise agreed in writing.
Returns & Refunds
- No refunds are provided for change of mind; only credit notes are issued for eligible returns.
- Returned items must be in original packaging and unused condition.
- If a refund is issued under exceptional circumstances, a 20% restocking fee applies.
- Under the Australian Consumer Law (ACL), clients are entitled to a refund or replacement for major failures and compensation for foreseeable loss or damage.
Warranty
Standard warranty terms:
- 10 years on cartridges and mechanical parts
- 2 years on finish/colour
- 1 year on labour
Warranty voids in cases of misuse, unauthorised installation, neglect, or alteration.
Confidentiality & Intellectual Property
All communication, specifications, and pricing between Orvieon and the client is confidential and may not be disclosed without written consent.
These Terms and Conditions, including all wording, structure, and format, are the intellectual property of Orvieon. No other person or entity may claim rights to this content without Orvieon's written consent.
Confidentiality obligations do not apply to information that:
- Was already publicly available at the time of disclosure.
- Becomes publicly available through no fault of the receiving party.
- Is required to be disclosed by law, regulation, or legal process.
Indemnity & Liability
The client indemnifies Orvieon from any claims or liabilities arising from product resale, misuse, or unauthorised application.
Orvieon is not liable for any indirect or consequential damages unless required under law.
Governing Law
- Governing law: Victoria, Australia.
- Jurisdiction: Melbourne courts have exclusive authority over any disputes.
General Provisions
- Force Majeure: Orvieon is not liable for delays due to events beyond its control.
- Dispute Resolution: Parties must attempt mediation before legal action.
- Amendments: Orvieon reserves the right to amend these terms at any time.
- Acceptance: By engaging in business with Orvieon, all parties agree to these terms.
